SquareDating Member Agreement and Privacy Policy

INTRODUCTION
This is a legal agreement between you, as a member or applicant for membership ("You" or "Member"), and SquareDating, including all of its affiliates. This document contains the rules governing all aspects of the relationship between Member and SquareDating. You should read this membership agreement ("Agreement") carefully, since it may affect your rights. Membership will not be granted unless you agree to these terms.

Acceptance of this Agreement constitutes acceptance of the current terms of use. SquareDating reserves the right, in its sole discretion, to modify the terms of the Agreement and shall notify You on the Square Dating Web site of any modifications to the Agreement. SquareDating will require You to indicate your acceptance in a conspicuous manner at the time of your next log in. You will not be asked to review this Agreement every time You sign on unless a substantial change to this Agreement has occurred, but You should understand that your use of SquareDating will, at all times, be subject to and pursuant to this Agreement, and any changes that may have been made since your last review of the Agreement. ELIGIBILITY
ELIGIBILITY: MINORS MAY NOT BECOME MEMBERS. By becoming a Member, You represent and warrant that You are at least 18 years old. By using the Website, You represent and warrant that You have the right, authority and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement. Your membership for the Service is for your sole, personal use. You may not authorize others to use your membership and you may not assign or otherwise transfer your account to any other person or entity. Membership in the Service is void where prohibited. By using the Website and the Service, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.

VERIFICATION
By submitting an application for membership to SquareDating, You are expressly granting SquareDating the right to contact your school which you indicate is your alma mater on the SquareDating registration page for the purpose of, but not limited to, verifying your student or alumna/us status. If, at any time, SquareDating discovers that You have misrepresented yourself or your student or alumna/us status, we reserve the right to immediately revoke your membership without prior notice to You.

Square Qualified Member Eligibility
SQUARE QUALIFIED MEMBER ELIGIBILITY. To become a SQUARE QUALIFIED MEMBER, SQM you must be able to prove that you are a either a student(over 18 years of age) or alumni from one of the Square Quailified Schools. MEMBERSHIP
Your membership with SquareDating is for your sole, personal use. Any use of the SquareDating's Service by a third party or by You as the agent of a third party shall be deemed a violation of this Agreement. Upon violation, SquareDating may in its sole discretion, without notice, terminate that Member's access to SquareDating. Each Member is responsible for the use of his or her account. You may not authorize others to use your membership, and You may not assign or otherwise transfer your account to any other person or entity.

TERM
This Agreement will remain in full force and effect while You use the Website and/or are a Member. You may terminate your membership at any time. You can change this in your account settings, or upon receipt by SquareDating of your written or email notice of termination. SquareDating may suspend or terminate your membership for any reason, in its sole and absolute discretion, effective upon sending notice to You at the email address you provide in your application for membership, or such other email address as You may later provide to SquareDating. If SquareDating terminates your membership in the Service because You have breached the Agreement, You will not be entitled to any refund of unused subscription fees. Even after membership is terminated, applicable provisions of this Agreement will remain in effect.

NON COMMERCIAL USE BY MEMBERS
The Website is for the personal use of individual Members only and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become Members and should not use the Service or the Website for any purpose. Illegal and/or unauthorized uses of the Website, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Website will be investigated, and appropriate legal action may be taken, including without limitation, possible civil, criminal, and injunctive redress.

PROPRIETARY RIGHTS
SquareDating owns and retains all proprietary rights in the Website and the Service. The Website contains the copyrighted material, trademarks, and other proprietary information of SquareDating, and its licensors. Except for that information which is in the public domain or for which You have been given written permission, You may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

OBLIGATIONS
As SquareDating seeks to strengthen ties within its community of Members, violation of the following rules are unacceptable and will result in immediate termination of your membership with SquareDating without notice.

1. You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that You, and not SquareDating, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via SquareDating. SquareDating does not control the Content posted via the SquareDating and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using SquareDating, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will SquareDating be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any content posted, e-mailed, transmitted or otherwise made available via SquareDating.
2. You may use only one membership account under your identity.
3. You may not post any false or inaccurate information.
4. You may not delete or change material posted by any another person.
5. You may not transmit, send, place or post unsolicited e-mail, promotional materials, telephone calls, mailings, chain letters and so forth to other members or anyone else whom You have found through the site. This specifically excludes promotion of other web sites, including but not limited to job-boards, and/or to commercial products and services.
6. You may not violate or attempt to violate the security or integrity of SquareDating's site or to interfere or attempt to interfere with the proper operation of the site or with any activity being conducted on the site. You may not decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of SquareDating's site. Any violation of the security or integrity of SquareDating's site will result in prosecution under state and federal laws.
7. You may not upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
8. You may not harm minors in any way;
9. You may not impersonate any person or entity, including, but not limited to, a SquareDating official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
10. You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through SquareDating;
11. You may not upload, post, email, transmit or otherwise make available any Content that You do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
12. You may not upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
13. You may not upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (such as Classifieds) that are designated for such purpose;
14. You may not upload, post, e-mail, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
15. You may not interfere with or disrupt SquareDating or servers or networks connected to SquareDating, or disobey any requirements, procedures, policies or regulations of networks connected to SquareDating;
16. You may not intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
17. You may not "stalk" or otherwise harass another; or
18. You may not collect or store personal data about other users for any commercial purpose.
19. You may not provide material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18;
20. You may not include in your Member profile any telephone numbers, street addresses, last names, URLs, e-mail addresses, or any other contact information.

COPYRIGHT POLICY
You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. Without limiting the foregoing, if You believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that You claim has been infringed; a description of where the material that You claim is infringing is located on the Website; your address, telephone number, and e-mail address; a written statement by You that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by You, made under penalty of perjury, that the above information in your notice is accurate and that You are the copyright owner or authorized to act on the copyright owner's behalf. TERMS AND CONDITIONS OF PURCHASE

1. SquareDating will charge you fees to become a subscribing member. You agree to pay all fees and charges, including applicable taxes, incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred. SquareDating reserves the right to change the amount of, or basis for determining, any Fees, and to institute new Fees, effective upon prior notice to you.
2. By submitting credit card information, you give SquareDating permission to charge all Fees incurred through your account to the credit card you designate. All fees (other than renewal fees) will be charged at the time they are incurred.
3. All purchases are final/ No refund will be given for the unused portion of your subscription period.
4. Purchaser agrees that subscription privileges are non-refundable in the event that the Purchaser chooses to suspend or cancel membership. Furthermore, no refund will be given in the event of termination of Purchaser's member agreement due to any violation of the SquareDating Member Agreement and Privacy Policy. In that event, Purchaser agrees that in addition to the grounds for termination set forth in the SquareDating Member Agreement and Privacy Policy that offensive behavior towards other members or use of foul language in a Purchaser's profile or via messages to others will constitute grounds for such termination of a Purchaser's membership or subscription.
5. Your credit card will be charged within 24 hours of your subscription. Your membership is non-refundable. You can manage your account by visiting your "My Account" page in SquareDating.com.
6. Same day cancellations are not eligible for a refund as all subscriptions are non refundable. However, you will retain service until your initial subscription expires and you will not be renewed after the expiration or your initial subscription.
7. SquareDating will automatically renew and charge your account upon the completion of the length of your current membership. You give permission to SquareDating to automatically charge your subscription fee to your credit card. You may opt out of this automatic renewal at any time by visiting your My Account page and indicating your preference. SquareDating will e-mail one-year subscribers approximately one month before such a renewal and give them the opportunity to cancel their Subscription.
8. The renewal charge will be equal to your original sign-up price, unless you are otherwise notified in advance (electronically) by SquareDating.
9. You may cancel your subscription at any time, but you will not receive a refund for your subscription fee.

   MEMBER DISPUTES
   You are solely responsible for your interactions with other SquareDating Members. SquareDating, reserves the right, but has no obligation, to monitor disputes between You and other Members.

   PRIVACY
   Use of the Website and/or the Service is also governed by our Privacy Policy.

   DISCLAIMERS
   THE SQUAREDATING WEBSITE AND SERVICE, INCLUDING ALL CONTENT, FUNCTIONS, MATERIALS AND INFORMATION MADE AVAILABLE ON OR ACCESSED THEREIN, ARE PROVIDED ON AN "AS-IS", "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SQUAREDATING CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE WEBSITE AND/OR THE SERVICE. SQUAREDATING IS NOT RESPONSIBLE FOR ANY INCORRECT OR INACCURATE CONTENT POSTED ON THE WEBSITE OR IN CONNECTION WITH THE SERVICE, WHETHER CAUSED BY USERS OF THE WEBSITE, MEMBERS OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE SERVICE.

   SQUAREDATING IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE WEBSITE OR MEMBER OF THE SERVICE. UNDER NO CIRCUMSTANCES WILL SQUAREDATING BE RESPONSIBLE FOR ANY LOSS OR DAMAGE, INCLUDING PERSONAL INJURY OR DEATH, RESULTING FROM ANYONE'S USE OF THE WEBSITE OR THE SERVICE, ANY CONTENT POSTED ON THE WEBSITE OR TRANSMITTED TO MEMBERS, OR ANY INTERACTIONS BETWEEN USERS OF THE WEBSITE, WHETHER ONLINE OR OFFLINE.

   SQUAREDATING ASSUMES NO RESPONSIBILITY FOR ANY ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMMUNICATIONS LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, OR ALTERATION OF, USER OR MEMBER COMMUNICATIONS. SQUAREDATING IS NOT RESPONSIBLE FOR ANY PROBLEMS OR TECHNICAL MALFUNCTION OF ANY TELEPHONE NETWORK OR LINES, COMPUTER ONLINE SYSTEMS, SERVERS OR PROVIDERS, COMPUTER EQUIPMENT, SOFTWARE, FAILURE OF EMAIL OR PLAYERS ON ACCOUNT OF TECHNICAL PROBLEMS OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE OR COMBINATION THEREOF, INCLUDING INJURY OR DAMAGE TO USERS AND/OR MEMBERS OR TO ANY OTHER PERSON'S COMPUTER RELATED TO OR RESULTING FROM PARTICIPATING OR DOWNLOADING MATERIALS IN CONNECTION WITH THE WEB AND/OR IN CONNECTION WITH THE SERVICE.

   BY USING THE SQUAREDATING SERVICE, YOU EXPRESSLY AGREE AND ACKNOWLEDGE THAT SQUAREDATING IS AN "INTERACTIVE COMPUTER SERVICE" PURSUANT TO 47 U.S.C. 230 (C)(1) AND HAS NO LIABILITY TO YOU WHATSOEVER FOR ANY INFORMATION PROVIDED BY ANY SQUAREDATING MEMBER OR BY ANY INFORMATION CONTENT PROVIDER.

   LIMITATION OF LIABILIY IN NO EVENT SHALL SQUAREDATING OR ANY OF ITS OFFICERS, AFFILIATES, DIRECTORS, SHAREHOLDERS, AGENTS OR EMPLOYEES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES THAT ARE DIRECTLY OR INDIRECTLY RELATED TO THE USE OF, OR THE INABILITY TO USE THE WEBSITE OR THE SERVICE OR THE CONTENT, MATERIALS AND FUNCTIONS RELATED THERETO, INCLUDING WITHOUT LIMITATION LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS OR LOST SALES OR GOODWILL, REGARDLESS OF WHETHER SQUAREDATING HAS BEEN ADVISED, KNEW, OR SHOULD HAVE KNOWN OF THE POSSIBILITY THEREOF.

   IN NO EVENT SHALL THE TOTAL LIABILITY OF SQUAREDATING TO YOU FOR ANY AND ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE), ARISING FROM THIS AGREEMENT OR YOUR USE OF THE SERVICES, EXCEED, IN THE AGGREGATE, THE AMOUNT OF THE MEMBERSHIP FEE PAID BY YOU TO SQUAREDATING PURSUANT TO THIS AGREEMENT. YOU ACKNOWLEDGE THAT SQUAREDATING HAS SET ITS PRICES AND ENTERED INTO THIS AGREEMENT IN RELIANCE UPON THE LIMITATIONS OF LIABILITY AND THE DISCLAIMERS OF WARRANTIES AND DAMAGES SET FORTH HEREIN, AND THAT THE SAME FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND SQUAREDATING. YOU AGREE THAT THE LIMITATIONS AND EXCLUSIONS OF LIABILITY AND DISCLAIMERS SPECIFIED IN THIS AGREEMENT WILL SURVIVE AND APPLY EVEN IF FOUND TO HAVE FAILED OF THEIR ESSENTIAL PURPOSE

   DISPUTES
   If there is any dispute about or involving the Website and/or the Service, by using the Website, You agree that this Agreement and the rights of You and SquareDating hereunder shall be governed by and interpreted in accordance with the laws of the State of New York, without giving effect to principals of conflicts of laws. You irrevocably and unconditionally submit to the exclusive jurisdiction of any State or Federal court sitting in the City of New York, Borough of Manhattan, over any suit, action or proceeding arising out of or relating to this Agreement. The Parties hereto irrevocably and unconditionally waive any objection to the laying of venue of any such suit, action or proceeding brought in any such court and claim that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum.

   PRIVACY POLICY
   SquareDating gives its members great discretion over the dissemination of their individual information. We use the information we collect from members for the purposes of improving site experience (e.g., customization of content); contacting You for suitable employment opportunities (e.g., through the Career Center); facilitating community experience (e.g., allowing members to connect based upon common interests); and soliciting partners (by calculating aggregated membership statistics).

   Members can exercise the option of limiting the scope of individual information that is available to other members. SquareDating may automatically receive and record information on our server logs from your browser, including your IP address and cookie information. For functional purposes, SquareDating may set and access cookies on your computer.

   In the event that SquareDating or substantially all of its assets are acquired, member information will be one of the transferred assets.

   You may not use SquareDating's site in any manner that may violate the privacy, publicity, or other personal rights of others, including but not limited to the posting of files (e.g., words, pictures, computer programs or other works of authorship), for which You do not have permission of the author to post and/or disseminate.

   EDITORIAL CONTROL
   You acknowledge that SquareDating does not pre-screen Content, but that SquareDating and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via SquareDating. Without limiting the foregoing, SquareDating and its designees shall have the right to remove any Content that violates the Agreement or is otherwise objectionable. You agree that You must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content.

   You acknowledge and agree that SquareDating may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Agreement; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of SquareDating, its users and the public.

   You understand that the technical processing and transmission of SquareDating, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

   E-MAIL
   Acceptance of this Agreement authorizes SquareDating to send You a reasonable amount of e-mail, including but not limited to, marketing promotions, special events and general information regarding SquareDating. You can at any time choose not to receive general announcements via e-mail from SquareDating by logging in and going to your account.

   SquareDating encourages all members to recruit/refer as many personal contacts as they would like for the purposes of expanding SquareDating's community. If You choose to enter SquareDating's member referral contests, You must comply with the stated rules. SquareDating does not authorize or encourage any member to send out mass e-mails (i.e., spam). Any member found to be engaging in such behavior will be subject to revocation of membership and prosecution under local, state, and federal laws.

   ARCHIVES
   SquareDating may archive postings for the purpose of providing useful or important information to its members on an ongoing basis. Such archives will also be used to minimize system downtime in the event of a malfunction. By posting on SquareDating, You are giving us permission to copy and/or store your postings for these purposes. SquareDating, however, does not warrant or represent that postings will be retained for any period of time, and such postings will be periodically deleted from our system.
